Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of January 26, 2020, Lawrence O. Klein, Ph.D., the Chief Business Officer of CRISPR Therapeutics AG (the “Company”), was also appointed to serve as the Company’s Chief Operating Officer.

Biographical information for Dr. Klein can be found on page 20 of the Company’s definitive proxy statement filed with the U.S. Securities and Exchange Commission on April 30, 2019 and is hereby incorporated by reference herein. The Company has not entered into any new or amended compensation arrangements with Dr. Klein in connection with his new role at this time.
